Supplemental Quality Requirements for Owl Products Suppliers

Scope: The Supplier requirements below apply to all Suppliers and sub-tier Suppliers to Owl Cyber Defense Solutions, LLC (“Owl”) that provide raw materials, manufactured components, products and testing services for Owl products. These requirements correspond with the requirements of AS9100D, Clause 8.4.3.

Supplier Expectation: Acceptance of a Purchase Order or commencement of performance constitutes acceptance of the Quality Management System (“QMS”) requirements listed in this document. The Supplier is not authorized to outsource, subcontract or otherwise procure from any third party any portion of these QMS requirements unless specifically authorized by Owl. To request exceptions to any specific provision, please submit the request in writing to an Owl purchasing representative.

Terms: This Purchase Order or Contract provides information on the processes, products, and services to be provided including identification of relevant technical data (e.g., specifications, drawings, process requirements, work instructions). To ensure that the product or service is delivered in accordance with the purchase order specifications, each shipment must be accompanied by one legible copy of a Certificate of Analysis (C of A), Certificate of Conformance (C of C), or Certificate of Traceability (C of T) unless noted otherwise in the Purchase Order. Final acceptance of product shall be at Owl after performing receiving inspection. Owl will evaluate Suppliers based on Quality, Delivery and/or Service, as part of Owl’s periodic review of the Approved Supplier List. Owl may request corrective actions based on the results of these evaluations. Owl reserves the right to perform verification and/or validation activities at the Supplier’s premises. The Supplier shall ensure that its employees or external service provides are aware of their contribution to product safety, the importance of ethical behavior, and their contribution to product or service conformity to applicable quality standards.

Additional Quality Management System Requirements:

A. The Supplier will ensure that employees and people working on its behalf are competent to deliver product and service claims, as defined by the Supplier quality system and Owl purchase specifications.

B. Owl reserves the right to specify any design and development requirements that may flow down from Owl customers. Owl expects Suppliers to conduct design and development in accordance with the Supplier’s quality system.

C. When use of calibration equipment is necessary, all gauges and instruments used to verify product must be calibrated using NIST standards or per the OEM’s standards. All provided calibration certifications must state this traceability.

D. The Supplier shall use a sampling plan for product acceptance that is consistent with typical industry standards, unless otherwise specified or agreed upon in writing with Owl.

E. The Supplier is required to establish and maintain a Foreign Object Debris (FOD) prevention program. The program will employ appropriate procedures to detect, prevent and the removal of debris or residue that is generated during normal operations and daily tasks, in accordance with MIL-STD-980.

F. The Supplier shall maintain a quality system in compliance with AS9100 or approved by Owl or Owl’s customers.

G. The Supplier will notify Owl of nonconforming product discovered after shipping and obtain approval for their disposition.

H. The Supplier will implement controls to prevent the purchase of counterfeit or suspect product and ensure product identification and traceability controls are instituted, in accordance with AS5553.

I. The Supplier shall notify and gain Owl’s approval of significant changes to processes, products, or services, including changes of their external providers or location of manufacture.

J. The Supplier shall flow-down to Sub-Tier Suppliers the applicable requirements employing the purchase order. Material and parts substitutions are not allowed unless agreed upon in writing with Owl.

K. When requested by Owl, the Supplier will provide documented information of test results and/ or specimens of product for analysis.

L. Owl reserves the right to access all applicable areas of the Suppliers facility and to documented information, to perform on-site inspection. Owl will provide a reasonable notification to the Supplier prior to the on-site inspection. The Supplier shall retain quality records for products, equipment or services provided to Owl for a minimum of 7 years or as otherwise stated on the Purchase Order.
